NCBFG reshapes regional network as Clarien Cayman deal nears close

Bermuda bank receives conditional approval to acquire NCB Cayman; Guardian targets October completion of Trinidad merchant bank transfer

NCB Financial Group Limited (NCBFG) is moving to complete two internal transactions that would place its Cayman banking operation under the Clarien brand and its Trinidad and Tobago merchant bank within Guardian Group, as the financial conglomerate reorganises its regional businesses around larger platforms.

Clarien Bank Chief Executive Officer Ian Truran said conditional regulatory approval had been received for Clarien’s acquisition of NCB (Cayman) Limited and that the transaction was expected to close shortly.

“The transaction is progressing well,” Truran told NCBFG’s quarterly investor briefing last Friday. He later described completion as expected “shortly, imminently”, although final conditions remain outstanding.

National Commercial Bank Jamaica Limited (NCBJ) and Clarien signed the share purchase agreement at the end of January. Under the agreement, the Bermuda-based bank would acquire 100 per cent of NCB Cayman, together with a defined portfolio of wealth- and investment-management clients currently served by NCB Capital Markets.

NCBFG received conditional regulatory approval for the transaction in July. Once completed, the Cayman operation is expected to be branded Clarien Bank and Investments Limited.

Truran said the transaction would extend Clarien’s wealth-management business into one of the Caribbean’s leading international financial centres, using the employees, technology, and client relationships already held within NCB’s Cayman operations.

The expansion is intended to give Clarien greater scale without requiring NCBFG to buy an external business. NCBFG has said the internal transfer is not expected to have a material effect on the group’s earnings or asset base.

Truran said management hoped to announce completion by NCBFG’s next quarterly investor briefing.

NCBFG is pursuing a similar consolidation in Trinidad and Tobago, where Guardian Insurance Limited signed an agreement at the end of April to acquire 100 per cent of NCB Merchant Bank (Trinidad and Tobago) Limited from NCB Capital Markets.

Guardian Insurance and NCB Merchant Bank are already part of the wider NCBFG group, making the proposed sale another internal reorganisation rather than an acquisition of new assets from a third party. The transaction remains subject to regulatory approvals and non-objections.

Guardian Group President Ian Chinapoo said management was hoping to complete the transfer by October 1, although that timetable depends on receiving the necessary approvals.

The plan would place the merchant bank alongside Guardian Asset Management and Investor Services and Guardian Group Trust. Chinapoo said the combination was intended to create a Southern Caribbean centre for wealth management, investment banking, and trust services.

He described the proposed combination as “a match made in heaven”, saying the businesses would gain economies of scale, greater capacity to invest in technology, and access to a wider pool of employees and expertise.

NCBFG has not disclosed the transaction value or provided projections for the revenue, cost savings, or additional business expected from the consolidation.

Guardian is separately undertaking a broader corporate restructuring required by Trinidad and Tobago’s financial-holding-company rules.

Under the proposal, Guardian Investments Limited would sit above Guardian’s regulated financial businesses, separating them from the group’s non-financial subsidiaries. NCBFG said the restructuring is intended to satisfy statutory requirements covering risk management, governance, and prudential oversight.

Chinapoo said the transfer of NCB Merchant Bank is independent of that restructuring, although the merchant bank would eventually sit within the new financial holding-company structure. NCBFG has said the changes involve no external parties and that the underlying businesses are expected to continue operating.

The Clarien and Guardian transactions will not immediately enlarge NCBFG’s balance sheet because the assets are already within the group. Their significance lies instead in how NCBFG is organising its regional operations: Clarien would become the principal brand for its Bermuda and Cayman banking and wealth businesses, while Guardian would bring its Trinidad investment-banking, asset-management and trust operations closer together.

Completion of both transactions now depends on regulatory clearance and execution of the remaining conditions. Clarien expects its Cayman transaction shortly, while Guardian is working towards its October target.
