Kintyre replaces external auditor
KINTYRE Holdings (JA) Limited has decided to replace its external auditor after repeated delays in completing its 2025 audited financial statements. The overdue accounts have kept the company’s shares suspended from trading since July.
The Junior Market company’s board has approved the termination of The Firm CB Ltd and the appointment of Brookes-Ridge Management Consultants Limited, subject to shareholder ratification at an extraordinary general meeting.
Brookes-Ridge has committed to completing the outstanding audit within 45 days of mobilisation. Kintyre said it expects to file the accounts shortly afterwards, but has not given a date for trading to resume.
“The board wishes to note, however, that it takes this matter seriously and has been unsatisfied with the repeated delays in completing the outstanding audit, which is the reason for this change,” the company said in its October 4 notice to the Jamaica Stock Exchange (JSE), signed by Chairman, President and CEO Tyrone Wilson.
Kintyre said the decision was not related to any disagreement with The Firm CB over accounting principles or practices, financial statement disclosures, or the scope or procedures of the audit.
The accounts, covering the year ended December 31, 2025, were due on March 31. The JSE suspended trading in Kintyre’s shares on July 1 after the statements became more than 90 days overdue. The suspension prevents investors from buying or selling the stock on the exchange.
The auditor change follows several revisions to the company’s expected filing date.
In June, Kintyre said additional audit procedures were required for acquisitions, investments, joint ventures, and other transactions completed during 2025. It explained that these required further review, valuations and verification, and moved its filing target from May 31 to June 30.
More recently, an update published on October 2 said the accounts, which had been scheduled for completion on September 30, were expected to be completed and submitted by October 13. The October 4 notice instead sets out the incoming auditor’s commitment to complete the work within 45 days of mobilisation, without specifying when that period begins.
Shareholders are scheduled to meet virtually at 10:00 am on October 27 to consider the auditor change, according to a market advisory published by Mayberry Investments.
Brookes-Ridge is led by Paul Hyman, whom Kintyre identified as a former KPMG professional and current vice-chairman of the Companies Office of Jamaica’s audit committee.
Kintyre, formerly iCreate Limited, adopted its new name in 2024 as it broadened its business from digital and creative training into a diversified investment holding company. That expansion provides the background to the transactions the company previously said required additional audit work.
The company said it would update the exchange on the resumption of trading in due course.
